Overview
David is a trusted advisor to businesses, investors, financial institutions, and municipalities on their most significant corporate, real estate, and finance matters. He combines technical skill with practical judgment to help clients close complex transactions, manage risk, and achieve their strategic goals.
Corporate
David has extensive experience guiding clients through the full lifecycle of mergers, acquisitions, and strategic investments. He represents buyers, sellers, private equity sponsors, venture capital funds, and management teams in a broad range of transactions. His work includes structuring transactions, negotiating definitive transaction documents, coordinating due diligence, and managing regulatory and financing considerations.
David also regularly serves as outside general counsel to both emerging companies and established enterprises on the full spectrum of day-to-day corporate matters ranging from entity formation and corporate governance to financing, commercial contracts, compliance, and employment matters. He provides practical guidance that supports immediate operational needs and long-term growth alike.
Real Estate
David advises developers, owners, investors, lenders, and municipalities on all aspects of commercial real estate, including acquisitions, dispositions, financing, leasing, permitting, and development. He brings experience across a broad range of property types, including commercial, industrial, retail, residential, mixed‑use, municipal, and environmentally impacted sites. He also counsels both residential and commercial common interest communities on governance and the drafting and amendment of association documents.
Banking & Finance
David advises both financial institutions and borrowers on the structuring and execution of a wide range of commercial lending transactions. His work includes real estate‑secured loans, asset‑based facilities, mezzanine financing, syndicated credit arrangements, debt restructurings, and intercreditor agreements. He delivers clear, commercially focused solutions that protect his clients’ interests and bring transactions to a timely and successful close.
Community Involvement
Outside of his legal practice, David is active in the community and serves on the Board of Directors, and the Executive Committee, of Liberation Programs, Inc., one of Fairfield County’s leading behavioral health organizations dedicated to substance abuse treatment and recovery.
